1. Introduction
Welcome to NGU LLC dba Cecile' AI Strange ("Cecile' AI Strange," "we," "us," or "our"). By accessing our website, submitting a demo application, or purchasing our consulting or training services, you agree to be bound by these Terms and Conditions. If you do not accept these terms, you may not access or use our services.
2. Nature of Services
Cecile' AI Strange provides professional consulting, training, and educational services that teach individuals and businesses how to build, manage, and maintain their own AI systems using third-party platforms. We do not host, sell, license, or operate proprietary software. Unless a separate written agreement states otherwise, all tools and platforms used during training are accessed and owned solely by the client.
3. Demo Applications and Scheduling
You agree to provide accurate, current information when applying for a demo and to submit information only for yourself or a business you are authorized to represent. Do not submit passwords, payment information, health information, government identification numbers, confidential client information, trade secrets, or other sensitive or regulated data through the demo form.
A submitted application is a request for a business conversation only. It does not create a client, advisory, fiduciary, employment, partnership, affiliate, or consultant relationship; guarantee that we will offer a demo or services; reserve a time; or obligate either party to enter an engagement. We may accept, decline, prioritize, or request additional information regarding any application at our discretion.
After submitting, you may be directed to Calendly to request a meeting time. Scheduling is subject to availability and Calendly's separate terms and privacy practices. A calendar confirmation is not an agreement to provide paid services.
4. Privacy and Electronic Communications
Our collection and use of information is described in our Privacy Policy, which is incorporated into these terms by reference. By submitting a demo application, you authorize us and our service providers to send operational communications related to the application, scheduling, security, and requested services. These messages are not a subscription to promotional marketing. We will request separate consent for marketing email where required.
5. Client Responsibility
Clients are responsible for creating, securing, and maintaining their own accounts on third-party platforms required for AI system functionality. Clients are also responsible for reviewing AI output, maintaining appropriate human oversight, obtaining necessary notices and permissions, protecting credentials and data, and using all systems in compliance with applicable laws and platform terms. Cecile' AI Strange does not manage these accounts and is not liable for platform changes, outages, pricing, output, or data security related to third-party tools.
6. Intellectual Property
All written materials, training guides, content, methods, and visual assets provided by Cecile' AI Strange remain the intellectual property of NGU LLC or their respective licensors. Unless a separate written agreement provides otherwise, these materials are licensed to you for personal or internal business use only and may not be reproduced, distributed, published, sublicensed, or resold without our express written permission.
7. Use of Website and Services
You agree to use our website and services lawfully and ethically. You may not interfere with the website, submit false or malicious information, attempt unauthorized access, misuse another person's information, or use any portion of our content or materials to build, distribute, or train unlawful, unethical, deceptive, discriminatory, or malicious AI systems. We reserve the right to refuse service or terminate an engagement found to violate these terms.
8. Third-Party Platforms and Links
Our website and services may reference or connect to third-party platforms, including Netlify, Resend, Calendly, AI providers, payment services, and social media sites. We do not control and are not responsible for third-party services, content, availability, terms, privacy practices, pricing, or security. Your use of a third-party platform is governed by your agreement with that provider.
9. Fees, Refunds, and Cancellations
Consulting and training services are prepaid and non-refundable unless otherwise specified in writing. If you cancel a session or package, any completed services, reserved time, or delivered materials remain billable. Separate proposals, statements of work, or package terms may contain additional payment, scheduling, cancellation, or refund provisions and will control if they conflict with this section.
10. Chargebacks
Initiating a chargeback to reverse a legitimate, authorized, and agreed-upon payment is a breach of these terms. We reserve the right to challenge chargebacks in coordination with payment processors and to recover costs or fees incurred, to the extent permitted by law. Nothing in this section limits rights that cannot lawfully be waived.
11. No Guarantees or Warranties
Cecile' AI Strange offers strategic guidance and education. We do not guarantee specific financial, business, legal, compliance, marketing, or technical outcomes. Success depends on client implementation, decision-making, market factors, data quality, human review, and third-party platform stability. To the maximum extent permitted by law, the website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
12. Limitation of Liability
To the maximum extent permitted by law, Cecile' AI Strange shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the website or services, including loss of data, revenue, profits, goodwill, opportunity, or business interruption, or for third-party platform failure. To the maximum extent permitted by law, our aggregate liability arising from a paid service is limited to the amount you paid us for the service giving rise to the claim. Nothing in these terms excludes liability that cannot legally be excluded.
13. Indemnification
You agree to indemnify and hold harmless NGU LLC dba Cecile' AI Strange and its affiliates, team members, and partners from claims, liabilities, damages, and reasonable legal fees arising from your misuse of the website or services, your violation of these terms, your violation of another person's rights, or your unlawful use of an AI or third-party system, except to the extent prohibited by law.
14. Modifications to Terms
We may modify these terms from time to time. Updates will be posted on this website with a revised effective date. Changes apply prospectively when posted unless a different date is stated. Continued use of the website or services after the effective date of updated terms constitutes acceptance of those changes.
15. Governing Law and Venue
These terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts with appropriate jurisdiction in King County, Washington, and you consent to their jurisdiction and venue, except where applicable law requires otherwise.
16. Severability and Entire Agreement
If any provision of these terms is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be enforced to the greatest extent permitted by law. These terms, together with our Privacy Policy and any applicable written proposal, statement of work, or service agreement, form the agreement governing the matters they address. A specific signed agreement controls over these website terms if the two conflict.
